Germany: Medios completes majority acquisition of API specialist Caelo from founders

Medios, a German-listed pharma-services group, has completed the acquisition of 74% of Caesar & Loretz (Caelo), a German provider of pharmaceutical active ingredients (APIs), excipients and raw materials. Options have been agreed for the acquisition of the remaining 26% of shares.

No transaction value was disclosed.

The deal brings Caelo into Medios Holding Compounding Essentials, which will pool the group’s European compounding and API activities alongside Magis Pharma in Belgium and Metapharmaceutical in Spain.

“With the acquisition we secure the market leadership position in the API business for pharmacies and clinics in Germany. At the same time we are opening the door to further growth in Europe,” said Thomas Meier, chief executive of Medios.

Caelo is an established supplier of APIs, excipients and raw materials for pharmacies, clinics and industrial customers. The range also includes chemicals and galenics, ointment and cream bases, medicinal herbs and tea blends, as well as fatty and essential oils.

The company employs around 240 people and expects revenue of roughly €40m for the current financial year. Caelo will continue to operate under its existing brand, led by managing director Asiye Dogan. Ulrich von der Linde, who will remain a shareholder in Caelo, has stepped down from the management following closing.

Medios says the structure positions Caelo as the German anchor point for a wider European compounding network, with synergy potential in joint procurement, quality control, repackaging and distribution of APIs, as well as cross-selling across the three businesses.

“Belonging to Medios opens up a strong European perspective for Caelo and creates new opportunities for sustainable growth,” said Dogan, managing director of Caelo.

Medios operates across Germany, the Netherlands, Belgium and Spain through its Specialty Pharma Supply and Compounding segments, working with pharmacies, specialist physicians and pharmaceutical companies to support access to therapies for patients with complex and chronic conditions.
